1. Acceptance of terms

These Terms of Service govern your access to and use of EOS (eCommerce Operating System), a Software-as-a-Service platform developed and operated by Delogics.org. By creating an account, connecting a third-party platform or otherwise using EOS, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other organisation, you represent that you have authority to bind that entity. If you do not agree, do not use the service.

2. Description of the service

EOS is a software service that connects to platforms you authorise — such as Shopify, Meta Ads and Google Ads — synchronises data from them, and presents dashboards, analytics, financial summaries, rule-based analysis and exportable reports. EOS is a reporting and analysis tool. It reads from your connected platforms and does not create, modify or delete records in those platforms.

3. Account registration

To use EOS you must create an account with accurate and complete information and keep it up to date. Each account belongs to an organisation workspace. You may invite additional users to your workspace and assign them roles that determine what they can access.

4. Account responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account and within your workspace.
  • You must notify us promptly of any unauthorised access or suspected security incident.
  • You are responsible for the users you invite and the permissions you grant them.
  • You must ensure you are entitled to connect the third-party accounts you authorise.

5. Subscriptions and pricing

Access to EOS is provided on a subscription basis. The EOS Basic plan is offered at USD $50 per month and includes the capabilities described on our Pricing page at the time of purchase. Additional plans referred to as "Coming Soon" are not yet available, and no pricing or feature commitment is made for them until they are published.

Pricing and included capabilities may change as EOS continues to expand. Where a change affects an active subscription, we will provide reasonable notice before it takes effect.

6. Payment

Subscription fees are billed in advance for each billing period. Fees are stated in US dollars and are exclusive of any taxes, duties or bank charges that may apply, which are your responsibility. Payment methods and billing arrangements are communicated at the point of subscription. Failure to pay may result in suspension or termination of access as described in section 16.

7. Cancellation and refunds

You may cancel your subscription at any time. On cancellation your access continues until the end of the billing period already paid for, after which the subscription will not renew. Except where required by applicable law, fees already paid are non-refundable, including for partial periods. If you believe you have been billed in error, contact us and we will review the matter in good faith.

8. Third-party integrations

EOS integrates with third-party platforms including Shopify, Meta and Google. Those platforms are operated independently of EOS and are governed by their own terms and policies. You are responsible for complying with them.

Third-party platforms may change, restrict, deprecate or discontinue their APIs at any time, which can affect or interrupt the corresponding EOS functionality. We will make reasonable efforts to maintain compatibility, but we do not control those platforms and are not liable for changes they make, for the accuracy of the data they report, or for interruptions they cause.

9. Your data and ownership

You retain all rights to the business data you bring into EOS from your connected platforms. We claim no ownership over it. We process it solely to provide the service to you, as described in our Privacy Policy. You may export your data from the application at any time, and you may request deletion as described on our Data Deletion page.

10. Acceptable use

You agree not to:

  • Use EOS for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorised access to the platform, other customers' data or underlying infrastructure
  • Probe, scan or test the vulnerability of the service without our written permission
  • Interfere with or disrupt the integrity or performance of the service
  • Reverse engineer, decompile or attempt to derive the source code of the platform
  • Resell, sublicense or provide the service to third parties except as permitted by your plan
  • Connect accounts or upload data that you are not authorised to use
  • Use automated means to extract data from the platform in a way that degrades service for others

11. Intellectual property

The EOS platform, including its software, interface, design, documentation and branding, is the property of Delogics.org and is protected by applicable intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. No other rights are granted.

12. Service availability

We aim to keep EOS available and reliable, but the service is provided without any guaranteed uptime or service level commitment unless separately agreed in writing. Access may be interrupted by maintenance, updates, third-party platform outages, or events beyond our reasonable control. Data synchronisation frequency depends on the schedules and rate limits of the connected platforms.

13. Security

We apply security measures appropriate to the service, including encryption in transit, encryption at rest for third-party access credentials, hashed password storage and organisation-level data isolation. No system is completely secure, and we do not warrant that the service will be free from vulnerabilities. You are responsible for securing your own account and devices.

14. Disclaimers

EOS is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.

EOS presents analysis derived from data reported by your connected platforms. It is a decision-support tool, not financial, accounting, tax, legal or investment advice. Figures may differ from those shown in a source platform because of differing definitions, attribution windows, timezones or reporting delays. You remain responsible for verifying figures before relying on them for financial, tax or regulatory purposes.

15. Limitation of liability

To the maximum extent permitted by applicable law, Delogics.org shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of or inability to use EOS.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the service shall not exceed the amount you paid to us for the service in the twelve months preceding the event giving rise to the claim.

16. Suspension and termination

We may suspend or terminate access where there is non-payment, a breach of these Terms, suspected unlawful or abusive activity, or a requirement imposed by law or by a third-party platform. Where reasonably practicable we will give notice and an opportunity to remedy the issue.

You may stop using EOS at any time and may request account deletion as described in our Data Deletion instructions. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability and governing law — will survive.

17. Changes to the service

EOS is actively developed. We may add, modify or remove features, and we may change how a capability works as platforms and requirements evolve. Features described as "Coming Soon" are statements of intention, not commitments, and may change or be withdrawn.

18. Changes to these terms

We may update these Terms from time to time. The "Last Updated" date above reflects the current version. Where changes are material we will provide reasonable notice through the platform or by email. Continued use of EOS after the changes take effect constitutes acceptance of the revised Terms.

19. Governing law

These Terms shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
